Terms of Service

1. Agreement

By creating a SHARC account or using the SHARC API you agree to these terms. If you do not agree, do not use the service. We may update these terms from time to time — continued use after changes constitutes acceptance.

2. The service

SHARC provides semantic code search, embedding, and reranking through a hosted API and MCP server. Access is granted on a per-account basis and governed by the plan limits described on the pricing page.

3. Accounts

You must provide a valid email address to create an account
You are responsible for all activity that occurs under your account and API keys
Do not share API keys or allow unauthorized access to your account
You may delete your account at any time from the dashboard

4. Acceptable use

You agree not to:

Use the service for any unlawful purpose
Attempt to reverse-engineer, extract model weights, or scrape the API for training data
Circumvent rate limits, quota enforcement, or authentication mechanisms
Resell, sublicense, or redistribute API access without written permission
Transmit malware, exploit code, or content designed to compromise the service

5. Intellectual property

Your content. You retain all rights to the source code and data you index through SHARC. We do not claim ownership of your content and do not use it to train models.

Our service. SHARC, its API, models, documentation, and website are the property of SHARC and are protected by applicable intellectual property laws. These terms do not grant you any rights to our trademarks or branding.

6. Payment and billing

Paid plans are billed monthly through Stripe Managed Payments. Prices are listed on the pricing page and may include applicable taxes collected by Stripe on our behalf.

Subscriptions renew automatically unless canceled before the current period ends
Cancellation takes effect at the end of the billing period — no mid-cycle refunds
We reserve the right to change pricing with 30 days notice

7. Service availability

We strive to keep SHARC available and performant but do not guarantee uninterrupted uptime. The service is provided on a best-effort basis. We may perform maintenance, deploy updates, or temporarily restrict access without prior notice.

8. Suspension and termination

We may suspend or terminate your account if you violate these terms, engage in abusive behavior, or pose a risk to the service or other users. Where possible we will provide notice before taking action. You may terminate your account at any time by deleting it from the dashboard.

9. Limitation of liability

To the maximum extent permitted by law, SHARC is provided "as is" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

In no event shall SHARC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the service, regardless of the theory of liability.

10. Governing law

These terms are governed by and construed in accordance with the laws of Romania. Any disputes arising from these terms shall be resolved in the courts of Romania.
